Terms of Service

In Short: You must be at least 18 years old to use TrustedTastes, and by doing so you agree to these Terms.

These Terms of Service ('Terms') govern your access to and use of the TrustedTastes platform, mobile application, website, and all related services (collectively, the 'Services') operated by TrustedTastes ('we', 'us', or 'our').

Access to and use of the Services is conditioned upon your acceptance of, and compliance with, these Terms. By accessing or using the Services in any manner, you confirm that:

• You are at least 18 years of age, or the age of legal majority in your jurisdiction if that age is higher;
• You have read, understood, and agree to be bound by these Terms and our Privacy Policy;
• You have the legal capacity to enter into a binding agreement; and
• You are not prohibited from using the Services under any applicable law.

If you are using the Services on behalf of a business or other legal entity, you further represent that you have the authority to bind that entity to these Terms, in which case the terms 'you' and 'your' shall refer to that entity.

If you do not satisfy these requirements or do not agree to these Terms, you must discontinue your use of the Services immediately.

In Short: You are responsible for the security of your account and for all activity conducted through it.

Certain features of the Services require you to create an account. When registering, you agree to:

• Provide accurate, current, and complete information as prompted by the registration process;
• Maintain and promptly update your account information to keep it accurate, current, and complete;
• Keep your login credentials confidential and not share them with any third party;
• Accept responsibility for all activities that occur under your account, whether or not authorised by you; and
• Notify us immediately at trustedtastesapp@gmail.com if you become aware of any unauthorised use of your account or any other security breach.

We reserve the right to disable any account, at any time and without prior notice, if we reasonably believe that you have failed to comply with any of these Terms or that the security of your account has been compromised.

You may not create more than one personal account, use another person's account without their explicit permission, or create an account for any entity other than yourself without proper authorisation.

In Short: You agree to use TrustedTastes honestly, responsibly, and in a manner that respects other users and third parties.

As a condition of your access to the Services, you represent, warrant, and agree that you will:

• Use the Services only for lawful purposes and in accordance with these Terms and all applicable local, national, and international laws and regulations;
• Ensure that all information you submit, including reviews, ratings, profile details, and communications, is truthful, accurate, and based on genuine first-hand experience;
• Respect the intellectual property, privacy, and other rights of third parties at all times;
• Cooperate with any reasonable investigation or inquiry conducted by us in connection with your account or use of the Services; and
• Promptly report any content or behaviour on the platform that you believe violates these Terms or is otherwise harmful.

Review Integrity

TrustedTastes is built on the trust of its community. All restaurant reviews and ratings you submit must reflect your genuine, personal experience at the establishment in question. You must not submit reviews in exchange for compensation, incentives, or at the direction of a third party.

You further agree not to submit reviews for establishments in which you have a personal or financial interest, including businesses owned or operated by yourself or your immediate family members, without clearly disclosing that relationship.

In Short: Certain uses of the platform are strictly prohibited and may result in immediate account suspension or termination.

You agree that you will not, directly or indirectly:

• Post, transmit, or distribute content that is defamatory, fraudulent, discriminatory, harassing, threatening, obscene, or otherwise unlawful;
• Impersonate any person or entity, or falsely represent your affiliation with any person or entity;
• Collect, harvest, or compile personal information about other users without their explicit consent;
• Use automated tools, bots, scripts, or other mechanisms to access, scrape, or index any portion of the Services without our prior written consent;
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of any part of the Services;
• Circumvent or attempt to circumvent any access controls, security measures, or geographical restrictions implemented by us;
• Introduce any virus, trojan, worm, or other malicious code into the Services;
• Use the Services to send unsolicited commercial communications or spam; or
• Engage in any conduct that, in our reasonable judgement, restricts or inhibits any other user from using or enjoying the Services.

We reserve the right, but not the obligation, to monitor the Services for violations of these Terms. The discovery or reporting of prohibited conduct does not create an obligation on our part to act in any particular manner.

In Short: You retain ownership of content you submit, but grant us a broad licence to use it in connection with the Services.

The Services may permit you to submit, post, or share content, including reviews, ratings, photographs, comments, and profile information ('User Content'). You retain all ownership rights in your User Content.

Licence Grant

By submitting User Content to the Services, you grant TrustedTastes a worldwide, non-exclusive, royalty-free, sublicensable, and transferable licence to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with the operation, promotion, and improvement of the Services. This licence continues for as long as your User Content remains on the platform and, where necessary for archival or legal purposes, beyond the deletion of your account.

Your Representations

By submitting User Content, you represent and warrant that:

• You own or have all necessary rights to submit the User Content and to grant the licence described above;
• The User Content does not infringe the intellectual property, privacy, or other rights of any third party; and
• The User Content complies with these Terms and all applicable laws.

We do not endorse any User Content or represent that it is accurate or reliable. We reserve the right, at our sole discretion, to remove any User Content that we determine, in our reasonable judgement, violates these Terms or is otherwise objectionable, without notice to you.

In Short: All platform technology, branding, and original content belong to TrustedTastes. Nothing in these Terms transfers any ownership to you.

The Services and all of their contents, features, and functionality — including but not limited to software, code, design, graphics, logos, trade names, trademarks, service marks, and compilations of data — are owned by TrustedTastes, its licensors, or other providers and are protected by applicable intellectual property laws.

Limited Licence to Users

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for your personal, non-commercial purposes. This licence does not include any right to:

• Sublicense, sell, resell, transfer, assign, or otherwise commercially exploit any part of the Services;
• Copy, reproduce, or create derivative works based on the Services or any of their content, other than as expressly permitted;
• Frame or mirror any part of the Services on any other website or application; or
• Use any data mining, robots, or similar data gathering tools on the Services.

Any use of the Services not expressly permitted by these Terms is a breach and may result in the termination of the licence granted to you.

Feedback

If you provide us with suggestions, ideas, or other feedback regarding the Services ('Feedback'), you acknowledge that such Feedback is non-confidential and that we may use, disclose, and exploit it without restriction and without any obligation to compensate you.

In Short: The Services may interact with or link to third-party platforms; we are not responsible for their content or practices.

The Services may contain links to third-party websites, services, or applications, including mapping services, social media platforms, and restaurant listing providers. These links are provided for convenience only and do not constitute an endorsement by us of the linked resource or its operator.

We have no control over the content, privacy policies, or practices of any third-party service and accept no responsibility for them. You acknowledge and agree that we shall not be liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with your use of or reliance on any third-party content, goods, or services.

Where the Services integrate with Google Maps Platform APIs, such use is subject to Google's Terms of Service in addition to these Terms. By using any location-based features of the Services, you also agree to be bound by Google's applicable terms and policies.

In Short: Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

Our collection, use, and disclosure of your personal information is described in our Privacy Policy, which is incorporated into and forms part of these Terms. By using the Services, you consent to the collection and use of your information as described in the Privacy Policy.

You are responsible for ensuring that any personal information you submit about other individuals — for example, tagging a friend in a review — is done so with that individual's knowledge and consent, and in a manner consistent with applicable privacy laws.

In Short: We provide the Services on an 'as is' and 'as available' basis, without warranties of any kind.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, TRUSTEDTASTES EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Without limiting the foregoing, TrustedTastes makes no warranty that:

• The Services will meet your requirements or expectations;
• The Services will be uninterrupted, timely, secure, or error-free;
• Any information or content obtained through the Services, including user reviews, will be accurate, reliable, or complete; or
• Any errors or defects in the Services will be corrected.

Restaurant information, reviews, ratings, and related content available on the Services are provided for informational purposes only and do not constitute professional advice of any kind. You should exercise your own judgement and conduct independent verification before relying on any such information.

In Short: Our liability to you is limited to the fullest extent permitted by law. We are not liable for indirect, incidental, or consequential losses.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL TRUSTEDTASTES, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY:

• Indirect, incidental, special, consequential, punitive, or exemplary damages;
• Loss of profits, revenue, data, business, or goodwill;
• Cost of substitute goods or services;
• Personal injury or property damage of any nature; or
• Any other losses arising out of or related to your use of, or inability to use, the Services,

even if TrustedTastes has been advised of the possibility of such damages, and regardless of whether the claim arises in contract, tort (including negligence), strict liability, or otherwise.

Aggregate Liability Cap

To the maximum extent permitted by applicable law, TrustedTastes' total aggregate liability to you for all claims arising out of or relating to the Services or these Terms shall not exceed the greater of (a) the amount you paid to us, if any, in the twelve (12) months preceding the claim, or (b) fifty US dollars (USD $50).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, TrustedTastes' liability will be limited to the greatest extent permitted by applicable law.

In Short: You agree to indemnify us against claims arising from your use of the Services or your breach of these Terms.

To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless TrustedTastes and its affiliates, officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgements, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms;
• Your User Content;
• Your use of the Services in a manner not authorised by these Terms;
• Your violation of any applicable law or regulation; or
• Your infringement of any intellectual property or other rights of a third party.

We reserve the right, at our own expense, to assume the exclusive defence and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with us in asserting any available defences.

In Short: We may suspend or terminate your account for violations of these Terms. You may also close your account at any time.

Termination by TrustedTastes

We reserve the right, at our sole discretion, to suspend, restrict, or permanently terminate your access to all or any part of the Services at any time and without prior notice if:

• You have breached, or we reasonably suspect you have breached, any provision of these Terms;
• We are required to do so by applicable law or a competent authority;
• Your account has been inactive for an extended period;
• Continued provision of the Services to you would expose us to legal liability or reputational harm; or
• We decide to discontinue the Services or any portion thereof.

In cases of serious or repeated violations, termination may be immediate and without warning. In other circumstances, we will endeavour to provide reasonable notice and an opportunity to remedy the breach where practicable.

Termination by You

You may close your account at any time by logging into your account settings and selecting the account deletion option, or by contacting us at trustedtastesapp@gmail.com. Closure of your account does not affect any obligations that arose prior to termination.

Effect of Termination

Upon termination of your account, your licence to use the Services ceases immediately. We may delete your account data in accordance with our Privacy Policy, though we may retain certain information as required or permitted by law. Provisions of these Terms that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution — shall continue in full force.

In Short: These Terms are governed by the laws of North Carolina. We encourage you to contact us directly to resolve any disputes before initiating formal proceedings.

Governing Law

These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the State of North Carolina, United States, without regard to its conflict of law principles.

Informal Resolution

Before initiating any formal legal proceedings, you agree to first contact us at trustedtastesapp@gmail.com and provide a written description of the dispute, the relief sought, and the contact information to reach you. We will attempt to resolve the dispute informally within 30 days of receiving your notice. Either party may pursue formal proceedings if the dispute is not resolved within that period.

Jurisdiction

For any dispute not resolved through informal means, you agree to submit to the exclusive jurisdiction of the state and federal courts located in Randolph County, North Carolina. You waive any objection to the exercise of jurisdiction over you by such courts.

Class Action Waiver

To the extent permitted by applicable law, you agree that any dispute resolution proceedings will be conducted on an individual basis only and not as part of a class, consolidated, or representative action.

In Short: We may update these Terms periodically. We will notify you of material changes and continued use of the Services constitutes acceptance.

We reserve the right to modify or replace these Terms at any time. The updated version will be indicated by an updated "Last Updated" date at the top of this page. If we make material changes, we will provide notice either by prominently posting a notice within the Services or by sending an email to the address associated with your account at least 14 days before the changes take effect, where practicable.

Your continued use of the Services after the effective date of any revised Terms constitutes your acceptance of those changes. If you do not agree to the revised Terms, you must discontinue your use of the Services and may close your account as described in the Termination section above.

We encourage you to review these Terms periodically. Changes to these Terms do not give rise to any new right to a refund for amounts previously paid, if applicable.

Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices or policies published by us on the Services, constitute the entire agreement between you and TrustedTastes with respect to the subject matter herein and supersede all prior or contemporaneous communications and proposals, whether oral or written.

Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of any remaining provisions.

Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision. A waiver of any term shall only be effective if made in writing and signed by an authorised representative of TrustedTastes.

Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.

No Agency

Nothing in these Terms shall be construed to create any partnership, joint venture, employment, or agency relationship between you and TrustedTastes.

Force Majeure

We will not be liable for any failure or delay in performance resulting from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemic, war, terrorism, civil unrest, governmental action, or failure of telecommunications infrastructure.
